Subject Matter

·         Overall Risk Management Framework and Internal Controls

·         Annual Budget

Key Responsibilities and Performance Requirements

·         Oversee preparation of Annual Budget, including Capital Expenditure

·         Ensure Integrity of financial reporting

·         External auditor; relationship, scope of work, independence, audit findings

·         Monitor effectiveness of risk management and internal controls (excluding clinical governance)

·         Monitoring performance against financial and other organisational performance measures

·         Review processes for monitoring ethical matters and ensuring compliance with applicable laws, regulations, standards, and best practice guidelines

·         Monitor the financial health of the company

·         Review and monitor physical and cyber security risks

·         Monitor and evaluate existing and emerging trends in technology that affect strategic direction

·         Review financial, strategic and operational benefits of current & proposed information technology

·         Provide advice on all matters relating to ICT capital expenditure & major projects

·         Provide advice on investment options to protect the integrity of the asset base

·         Identify and contribute to financial and risk training needs of directors, and

·         Provide a sounding board for strategic financial & risk issues.
