Rosebank College Board Directors (Voluntary)

A school of Good Samaritan Education, Rosebank College seeks expressions of interest from motivated individuals who wish to join the College Board on a voluntary basis as a non-executive Director for an initial 3 year period.

About Us

Rosebank College has a proud and varied history of over 150 years as part of the Good Samaritan family established in 1857, and belonging to the Benedictine spiritual and educational tradition founded by St Benedict in the 4th century. The College belongs to the community of ten schools across Australia called Good Samaritan Education (GSE). Established in 2011 by the Sisters of the Good Samaritan, the mission of Good Samaritan Education is to sustain and nurture our Catholic schools as Good Samaritan Benedictine communities of learning.

Catholic education in the Good Samaritan Benedictine tradition is committed to developing students who will engage with today’s world as grounded, hope-filled young people who are equipped to lead wisely, to listen deeply and to treat their neighbour and their environment with justice, love and the compassion of Christ.

Rosebank College promotes an inclusive, welcoming environment for children and provides transparent, accountable, risk-managed approaches to ensure child safeguarding.

As a school of Good Samaritan Education, Rosebank College is incorporated and governed by a Board of Directors which is accountable through the Company Members to Good Samaritan Education.

The College Board

The Board has a maximum of 12 non-executive Directors who meet collectively approximately 8 times each year, generally face to face at the College. The work of the Board is supported by a number of sub-committees that also meet regularly.

Collectively, the Board is accountable for the stewardship of the College assets and undertakes a strategic and participative approach to planning, policy development and decision making while adhering to its Charter, the Company Constitution and applicable legal and regulatory requirements.

Specifically, the Board is responsible for:

1. Ensuring the College provides a sound, contemporary, Catholic education in line with the charism of the Good Samaritan Benedictine tradition.

2. Appointing and supporting the Principal, monitoring performance and providing leadership and counsel.

3. Ensuring compliance with regulatory requirements and oversighting the College risk management and control monitoring systems.

4. Establishing the strategic direction of the College, and monitoring performance and achievement of strategic priorities.

5. Approval of the College annual budget and capital works program, and oversight of expenditure, audit, financial performance and reporting.

6. Reporting to the College Members on Board and College activities through periodic Member meetings.

Selection Criteria

College Board Directors are required to demonstrate the following qualities:

1. A commitment to Catholic education and personal values and beliefs that align with the values and ethos of the Good Samaritan Benedictine tradition.

2. Strong interpersonal skills, confidentiality, discretion, goodwill and tact.

3. Strategic decision making skills, including a reflective and collaborative approach, sound judgement and analysis.

4. Financial literacy and a sound understanding of corporate governance including the legal, ethical, fiduciary and financial responsibilities of a Board Director.

5. Integrity, accountability and a commitment to actively and positively contribute to Board outcomes.

Applicants from diverse backgrounds with experience in the Education sector as well as skills and experience in the areas of finance and accounting or information technology and cyber security will be highly regarded.

Essential Requirements

Board Directors must not be disqualified from acting as a Director under the Corporations Act.

Directors must obtain Director Identification Number and a Working with Children Check clearance before appointment. Directors must also complete a National Police Check, which will be coordinated by the College.

Directors must be able to commit to attend regular board meetings and participate in other activities, including board committees.

The position of Director is not remunerated and is not open to parents, grandparents and primary caregivers of children enrolled at the College, or who have been accepted for enrolment.

Shortlisted applicants will be invited for interview early March 2025. Appointed Directors are required to complete an online learning program within 12 weeks of commencement and commit to participating in a compulsory induction program 6 to 7 November 2025 as well as ongoing formation programs organised from time to time.
